Welcome to Synaku ("we," "our," or "us"). By accessing or using our SERP monitoring and search-intelligence platform, you agree to comply with and be bound by these Terms and Conditions ("Terms").
If you do not agree with any part of these Terms, please discontinue use of the Service immediately.
1. Acceptance of Terms
By creating an account or otherwise accessing Synaku, you confirm that you are at least 18 years old, or are accessing the Service on behalf of an organization that has authorized you to do so, and that you have the legal capacity to enter into this agreement. Continued use of the Service constitutes acceptance of these Terms and any future updates.
2. Description of Service
Synaku is a platform for monitoring and analyzing search engine results pages (SERPs). You configure projects, keywords, and markets, and Synaku captures the corresponding search results on a recurring schedule, tracking rankings, competitors, ad copy, and SERP features over time. We reserve the right to modify, suspend, or discontinue parts of the Service with reasonable notice.
3. Your Data and Content
You retain full ownership of the keywords, domains, project configuration, and other data you provide. By using the Service, you grant us a limited license to process this data in order to operate the Service and deliver your reports. This license ends when you delete your data or close your account.
The rankings, datasets, and reports Synaku compiles for your projects are made available to you and may be used for any lawful purpose, including within your business and for your clients.
You represent and warrant that your use of the Service, and any data you submit, does not infringe any third-party rights or violate any applicable law. You agree to indemnify us against any claims arising from a breach of these representations.
4. Service and Availability
We strive to provide a reliable Service but cannot guarantee uninterrupted availability, specific collection schedules, or particular results. SERP data is gathered from search engines and other third-party sources whose output is outside our control and can change at any time.
Search results are inherently variable and may differ by location, device, personalization, and time. Synaku reports the data as observed and does not warrant that it reflects every user's individual search experience.
5. Intellectual Property Rights
All content, design, trademarks, and proprietary features of Synaku are owned by us or our licensors and are protected under applicable copyright and trademark laws. You may not reproduce, distribute, modify, or resell any portion of the Service itself without prior written consent.
You retain ownership of your own data and reports as specified in Section 3.
6. Prohibited Content and Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose
- Resell or redistribute access to the Service without authorization
- Attempt to breach, probe, or test our security systems
- Scrape, crawl, or harvest data from the Service via automated methods without authorization
- Use the Service to overload, disrupt, or interfere with third-party systems or search providers
- Interfere with the proper operation of the Service or its infrastructure
We reserve the right to review usage, throttle or reject requests, and terminate accounts that violate this policy.
7. Payments and Subscriptions
Synaku offers paid subscription plans that include keyword tracking, monitoring, and analysis features. By subscribing to a plan, you agree to pay all applicable fees as displayed at checkout. Subscriptions are billed in advance on a recurring basis (monthly or annually) and renew automatically until cancelled. Payments are processed securely through Stripe.
You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and you retain access until then. We may change pricing with at least 30 days' notice.
Plan refunds are governed by our Refund Policy.
8. Limitation of Liability
To the maximum extent permitted by law, Synaku shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of business opportunities, lost revenue, reputational harm, or decisions made on the basis of data provided by the Service.
Our total liability to you for any claim arising from these Terms or use of the Service shall not exceed the amount you paid us in the 12 months prior to the claim being raised.
9. Modifications and Updates
We may update these Terms or modify the Service from time to time. We will notify you of material changes via email. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
10. Governing Law and Jurisdiction
These Terms are governed by Swiss law. Any dispute shall be resolved in the competent courts of Zürich, unless otherwise required by law.
11. Severability
If any provision of these Terms is or becomes invalid or unenforceable, in whole or in part, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.
